These Terms of Service ("Terms") are a binding legal agreement between you and Cearsi AI ("Cearsi", "we", "us") and govern your access to and use of the Cearsi website at cearsi.dev, the Cearsi dashboard, our APIs, and related services (collectively, the "Service"). By creating an account, clicking "I agree", subscribing to a plan, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you are agreeing on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree, do not use the Service.
1.Eligibility and accounts
1.1Eligibility
You must be at least 18 years old and the age of majority in your jurisdiction, and have the legal capacity to enter into these Terms. You must not be listed on any U.S. Treasury OFAC sanctions list, EU consolidated sanctions list, UK sanctions list, or equivalent list, and you must not be located in a jurisdiction subject to comprehensive U.S., UK, or EU sanctions (currently including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, Luhansk, and Zaporizhzhia regions).
1.2Account security
You are responsible for all activity under your account, for keeping your credentials confidential, for using a strong unique password, and for notifying us promptly at support@cearsi.dev if you suspect unauthorized use.
1.3Accurate information
You agree to provide accurate, current, and complete information when you create your account and to keep that information up to date.
2.The Service
Cearsi provides an AI-assisted educational platform for learning about cryptocurrency markets, tracking public market data, and drafting personal research, plans, and notes. Cearsi is not a broker, dealer, exchange, money transmitter, investment adviser, tax adviser, or law firm, does not custody customer assets, and does not execute trades. Features, availability, and pricing may change as we improve the Service. We may add, modify, or remove features at our discretion and will use reasonable efforts to notify you of material changes.
3.Acceptable use
You agree not to, and not to permit anyone to:
- Use the Service to violate any law or the rights of others;
- Generate, distribute, or facilitate content that is illegal, defamatory, harassing, hateful, threatening, discriminatory, or sexually explicit involving minors, or that infringes intellectual property or privacy rights;
- Use the Service to facilitate market manipulation, insider trading, "pump and dump" schemes, fraud, money laundering, terrorist financing, sanctions evasion, or tax evasion;
- Attempt to gain unauthorized access to accounts, systems, or data;
- Reverse engineer, decompile, or attempt to extract source code, models, or weights;
- Interfere with or disrupt the Service, including by sending malware, spam, or excessive automated traffic;
- Scrape, resell, or redistribute the Service or Cearsi output in bulk without written permission;
- Use the Service to create a competing product or to train competing AI models;
- Circumvent usage limits, rate limits, authentication, or paywalls;
- Submit content containing personal data of third parties without a lawful basis to do so.
We may suspend or terminate accounts that violate these rules.
4.Subscriptions, trials, and billing
4.1Plans and pricing
Paid plans are billed in advance in U.S. dollars on the interval you select (monthly or annual). Prices shown at checkout may exclude applicable taxes, VAT, GST, or other governmental charges, which will be added where required. We may change prices with at least 30 days' prior notice, effective at your next renewal.
4.2Free trials
Free trials, where offered, run for the duration disclosed at checkout (currently 3 days for eligible plans). At the end of the trial your subscription automatically converts to a paid subscription at the then-current rate unless you cancel before the trial ends. You may cancel at any time during the trial from your billing settings.
4.3Automatic renewal (California and similar disclosures)
Auto-renewal notice. Your subscription automatically renews at the end of each billing period at the then-current rate, using your saved payment method, until you cancel. To cancel and avoid future charges, open Billing in your account and click "Cancel subscription" before your next renewal date. Cancellation takes effect at the end of the current paid period; access continues until then. This notice is intended to comply with California Business & Professions Code §§17600 et seq. and similar automatic-renewal laws in other U.S. states.
4.4Upgrades and downgrades
Upgrades take effect immediately and are prorated for the remainder of the current period. Downgrades take effect at the end of the current billing period. Team seats are billed per active seat.
4.5Refunds
Except where required by applicable consumer-protection law (including EU/UK withdrawal rights, which you expressly waive to the extent permitted once digital services are supplied with your consent), payments are non-refundable and we do not provide refunds or credits for partial periods, unused features, or downgrades.
4.6Failed payments and taxes
If a payment fails, we may retry the charge and suspend paid features until the balance is resolved. You are responsible for all taxes associated with your use of the Service other than taxes based on Cearsi's net income.
5.Your content and license
5.1Ownership
You retain ownership of the prompts, files, and other content you submit ("Your Content"). You represent that you have the rights necessary to submit Your Content and that it does not violate any law or third-party rights.
5.2License to Cearsi
You grant Cearsi a worldwide, non-exclusive, royalty-free license to host, store, transmit, reproduce, and process Your Content solely to operate and improve the Service and to comply with law. We will not use Your Content to train foundation models. This license ends when Your Content is deleted from the Service, subject to our standard backup and retention windows described in the Privacy Policy.
5.3Output
Subject to these Terms, you own the output generated for you by the Service ("Output") to the extent Cearsi has rights to assign. Output may be similar or identical to output generated for other users; Cearsi does not guarantee exclusivity of Output.
6.AI output, no advice, and crypto risk
Cearsi uses third-party AI models that can and do produce inaccurate, incomplete, outdated, or misleading responses ("hallucinations"). Market data is provided by third-party sources on an as-is basis and may be delayed or wrong. All Output and market data are for general educational and informational purposes only and are not financial, investment, brokerage, legal, tax, or accounting advice, and do not constitute a recommendation to buy, sell, or hold any asset. Cryptocurrency and digital-asset markets are highly volatile and can result in the total loss of principal. You are solely responsible for verifying Output, conducting your own due diligence, complying with the laws of your jurisdiction (including securities, commodities, tax, and anti-money-laundering laws), and for any decisions or transactions you make based on the Service.
7.Third-party services
The Service may link to or integrate with third-party services (for example, market data providers, exchanges, wallets, or Model Context Protocol servers you connect). Your use of those services is governed by their own terms and privacy policies, and Cearsi is not responsible for their availability, accuracy, security, or acts and omissions. You are responsible for the credentials and permissions you grant when connecting any third-party integration.
8.Intellectual property
Cearsi, the Cearsi name and logo, and the Service are protected by intellectual property laws. Except for the limited license expressly granted in these Terms, no rights are transferred to you. Feedback you submit may be used by us without obligation or attribution.
DMCA / copyright notices. If you believe content on the Service infringes your copyright, send a notice under 17 U.S.C. §512(c) to support@cearsi.dev (Subject: "DMCA Notice") including: identification of the copyrighted work, the allegedly infringing material and its URL, your contact information, a good-faith statement that use is not authorized, a statement under penalty of perjury that your notice is accurate and you are authorized to act, and your physical or electronic signature. We respond to valid notices and may terminate repeat infringers.
9.Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, if we reasonably believe your use poses a risk to the Service or other users, or if continuing to provide the Service becomes impractical. On termination, licenses granted to you end and provisions that by their nature should survive (including sections 5–15) will survive.
10.Disclaimer of warranties
The Service and all Output are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation, to the maximum extent permitted by law. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you; in that case, such warranties are limited to the minimum period and extent required by applicable law.
11.Limitation of liability
To the maximum extent permitted by law, Cearsi and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or related to your use of the Service. Our aggregate liability for all claims relating to the Service in any twelve-month period will not exceed the greater of (a) the amounts you paid to Cearsi in that period, or (b) one hundred U.S. dollars (US$100).
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence, willful misconduct, fraud, death or personal injury caused by negligence, or statutory consumer rights that cannot be waived.
12.Indemnification
You agree to indemnify and hold harmless Cearsi and its affiliates from any claims, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, Your Content, or your violation of these Terms or applicable law.
13.Governing law, arbitration, and class-action waiver
These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to conflict-of-laws principles. You and Cearsi agree to first try to resolve any dispute informally for at least 30 days by contacting support@cearsi.dev. Any unresolved dispute, claim, or controversy arising out of or relating to the Service or these Terms will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, seated in Wilmington, Delaware, with arbitration conducted in English. Judgment on the award may be entered in any court of competent jurisdiction. You and Cearsi waive any right to a jury trial and to participate in a class action, class arbitration, or representative action. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing the address above with the subject "Arbitration Opt-Out." Nothing in this section prevents either party from seeking injunctive relief in court for infringement of intellectual property, or from bringing a claim in small-claims court. If you are a consumer in the EU, UK, or another jurisdiction whose law grants you the right to bring claims in your local courts, that right is preserved.
14.Export controls and sanctions
You agree to comply with all applicable export-control and sanctions laws, including those administered by the U.S. Department of Commerce (EAR), the U.S. Department of the Treasury (OFAC), the EU, and the UK. You represent that you will not use the Service in violation of these laws or provide access to any sanctioned party.
15.Content protection and prohibited copying
All content on the Service — including the Cearsi name, logo, wordmark, visual design, page layouts, UI components, marketing copy, legal pages, educational materials, prompt text, model responses branded as "Cearsi", source code served to your browser, and compiled assets — is owned by Cearsi or its licensors and is protected by U.S. and international copyright, trademark, trade-dress, and unfair competition laws.
Except for the limited license granted to use the Service for its intended purpose, you may not, and you may not permit any third party or automated agent to: (a) copy, clone, mirror, republish, or redistribute the Service or any substantial portion of it; (b) scrape, crawl, harvest, or index the Service other than by well-behaved search-engine crawlers respecting our robots.txt; (c) reproduce our branding, visual design, or marketing copy in any competing product or promotional material; (d) use the Service, its outputs, or its underlying prompts to train, fine-tune, evaluate, or benchmark any machine-learning model without our prior written consent; (e) remove, obscure, or alter any copyright, trademark, watermark, or other proprietary notice; or (f) reverse engineer, decompile, or attempt to derive the source code of any server-side component.
We respond to notices of alleged copyright infringement under the U.S. Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe your work has been infringed, or if you wish to report unauthorized copying of the Service, send a notice to support@cearsi.dev including the information required by 17 U.S.C. § 512(c)(3). We may suspend or terminate accounts of repeat infringers and pursue any remedies available at law or in equity, including injunctive relief, statutory damages, and attorneys' fees.
16.Changes to these Terms
We may update these Terms from time to time. If we make material changes we will update the "Last updated" date above and, where appropriate, notify you through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
17.Miscellaneous
These Terms, together with the Privacy Policy, are the entire agreement between you and Cearsi regarding the Service. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to Cearsi must be sent to the email below.
